This text studies how economic, political and legal institutions affect corporate governance and the production of corporate law; how the law affects the governance of economic relations between participants in corporations; and analyzes issues of legal theory and reasoning that arise in corporate law. Overall the author is interested in how legal reasoning adapts to its economic and political environment. The book shows the linkages between the traditions of English judging and the governance of corporate relations and contracts.
