The duties which the law imposes on directors are not to be assumed lightly or in ignorance. Company law contains many pitfalls for the unwary, and directors who fall foul of its provisions stand to lose large amounts of their own money as well as facing the prospect of a criminal prosecution. Leaving it to others to run the company is not necessarily an excuse if they break the law, because as a director, one could be equally responsible. There is another side to the coin too. Shareholders who vote to put someone on the board rarely realise how little real control they may have over his subsequent actions. Unscrupulous directors can lead the company astray, and improvident ones can ruin it very quickly without the shareholders either being aware of what is going on, or being able to put the brakes on if they do know.
