Drafting Contracts

Starting with the student's understanding of the principles of contract law, this book puts that knowledge to use. Practical application of contract principles sharpens the student's ability to think like a lawyer in solving particular problems. Each chapter has an introduction, drafting considerations and exercises. The text is organized in two parts. Part one deals with the substantive law of contracts, showing how the substantive understandings in a contract setting find expression in individual provisions of a contract. It is keyed to the topics traditionally encountered in contracts courses; for example, offer and acceptance, consideration, parol evidence, promise and condition. Part two deals with the art of drafting, demonstrating how the individual provisions work together in a document. The author addresses synthesis of the parts of a contract and methods of expression with great clarity. The teacher's manual contains a chart showing how this work can be used with each of the major contracts casebooks, as well as tips on using this material in a contracts course without an inordinate amount of extra professor time.
